These Terms & Conditions ("Terms") govern your use of the website vursasolutions.com and its subdomains (the "Site"), our SMS/text messaging program, and the marketing services we provide (the "Services"). The Site and Services are operated by Vursa Solutions LLC, an Arizona limited liability company ("Vursa Solutions," "we," "us," or "our"), located at 6350 N 78th St Unit 311, Scottsdale, AZ.

By using the Site, submitting a form, booking a call, opting in to text messages, or purchasing the Services, you agree to these Terms and to our Privacy Policy at https://vursasolutions.com/privacy-policy-4523. If you do not agree, do not use the Site or Services.

1. Who May Use the Site and Services

The Site and Services are intended for businesses and for adults who are at least 18 years old. By using them, you confirm that you are 18 or older and, if you are acting for a business, that you have authority to bind that business to these Terms.

2. The Services

Vursa Solutions provides marketing systems and related services for local service businesses, including lead follow-up automation, text and email messaging, review generation, and related setup and support. The specific features included in your plan are described on the Site or in your order at the time of purchase.

Submitting a form, completing a quiz, or booking a call on the Site is a request for information or a consultation. It does not create a contract for Services until you purchase a plan.

3. Pricing, Billing, and Payment

Price. The marketing system is offered at $297 per month unless a different price is stated on the Site or agreed with you in writing at the time of purchase.

Billing. Plans are billed monthly in advance to the payment card you provide. By purchasing, you authorize us to charge your card each billing period until you cancel. Payments are processed by Stripe; we do not store your full card number on our systems.

No setup fees or minimum term. There is no setup fee and no minimum commitment unless stated otherwise in writing at the time of purchase.

Price changes. We may change prices with at least 30 days' notice by email. The new price applies to billing periods that begin after the notice period.

Failed payments. If a payment fails, we may retry the charge and may suspend the Services until payment is received.

Taxes. Prices exclude any applicable taxes, which will be added where required.

4. Cancellation and Refunds

You may cancel at any time by emailing [email protected] or through any cancellation option we provide in your account. Cancellation takes effect at the end of the current billing period. You will not be charged again after that, and you keep access to the Services until the period ends.

Fees already paid are non-refundable, and we do not issue prorated refunds for partial billing periods, except where required by law or where we agree otherwise in writing.

We may suspend or terminate the Services if you breach these Terms, use the Services unlawfully, or fail to pay. If we terminate for a reason other than your breach, we will refund any prepaid fees for the unused portion of the billing period.

5. Your Responsibilities

When using the Services you agree to:

Provide accurate, current information about yourself and your business, and keep it updated.
Use the Services only for your own lawful business purposes.
Comply with all laws that apply to your own marketing and messaging, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state laws, when you send messages to your own customers through systems we set up for you.
Obtain any consents required from your own customers before we send messages to them on your behalf.
Keep your login credentials confidential and notify us promptly of any unauthorized use.

You are responsible for the content of messages sent to your own customers through your account, and for the accuracy of any information you provide us to use in your marketing.

6. No Guarantee of Results

Marketing outcomes depend on many factors outside our control, including your market, pricing, reputation, responsiveness to leads, advertising budget, and seasonality. We do not guarantee any particular number of leads, appointments, reviews, revenue, or return on investment. Testimonials and case studies on the Site describe individual experiences and are not a promise of similar results.

7. Acceptable Use of the Site

You agree not to:

Copy, scrape, or harvest content or data from the Site by automated means.
Submit false, misleading, or someone else's information through our forms.
Interfere with the Site's operation or security, or attempt to access accounts or systems you are not authorized to use.
Use the Site or Services to send unlawful, deceptive, harassing, or infringing content.
Resell or sublicense the Services without our written permission.

8. Intellectual Property

The Site and its content, including text, graphics, logos, videos, page designs, quiz flows, and software, are owned by Vursa Solutions or its licensors and are protected by copyright, trademark, and other laws. You may view and use the Site for its intended purpose. You may not reproduce, modify, distribute, or create derivative works from Site content without our written permission.

Materials we create for you as part of the Services, such as message templates, workflows, and page designs, may be used by you for your business while your subscription is active. Our underlying systems, templates, and know-how remain ours.

You keep ownership of the content and data you provide to us, and you grant us a license to use it as needed to deliver the Services.

9. Testimonials and Publicity

With your permission, we may identify you as a customer and use your business name, logo, and results in our website, case studies, and marketing materials. You can withdraw this permission at any time by emailing [email protected], and we will stop using your name and logo in new materials within a reasonable time.

10. Call Recording

We may record or transcribe consultation, sales, and support calls for quality, training, and record-keeping purposes. Where we do, you will be told at the start of the call, and by continuing the call you consent to the recording. If you do not want a call recorded, tell us at the beginning and we will proceed without recording where we are able to.

11. SMS / Text Messaging Program Terms

These terms apply to text messages sent by Vursa Solutions through our messaging provider (an A2P 10DLC program).

Program description. By opting in, you agree to receive SMS/MMS messages from Vursa Solutions, which may include responses to your inquiry, appointment confirmations and reminders, follow-ups, account and service notifications, and promotional offers about our Services.

How you opt in. You opt in by submitting a form on our Site with the SMS consent box checked, by texting a keyword to our number, by giving us your number and agreeing to receive texts on a call, or by replying to a message from us.

Message frequency. Message frequency varies based on your interaction with us.

Message and data rates. Message and data rates may apply. Contact your wireless carrier for details about your plan.

Opt out. Reply STOP to any message to cancel. You will receive a one-time confirmation and no further messages unless you opt in again. You may also opt out by emailing [email protected].

Help. Reply HELP to any message, or email [email protected], for assistance.

Consent is not a condition of purchase. You do not have to agree to receive text messages to buy any goods or services from us.

Carrier liability. Carriers are not liable for delayed or undelivered messages. Delivery may be affected by factors outside our control, including network problems and device compatibility.

Privacy. Our Privacy Policy at https://vursasolutions.com/privacy-policy-4523 explains how we handle your information. Mobile opt-in information and consent are never shared with or sold to third parties for their marketing purposes.

Your obligations. You agree not to use our messaging channels to send content that is unlawful, offensive, or intended to harass or harm anyone.

12. Email Communications

By providing your email address, you agree that we may email you about your inquiry, your appointments, and our Services, including marketing emails. Every marketing email includes an unsubscribe link. Transactional emails, such as appointment confirmations and billing notices, may continue after you unsubscribe from marketing.

13. Third-Party Services

The Services rely on third-party platforms, including our customer relationship, messaging, and scheduling platform, our payment processor, and automation tools that connect them. We are not responsible for outages, changes, or acts of these third parties, although we will work to minimize any impact on you. Links on the Site to third-party websites are provided for convenience, and we are not responsible for their content or practices.

14. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site or Services will be uninterrupted, error-free, or secure, or that they will meet your requirements.

15. Limitation of Liability

To the fullest extent permitted by law, Vursa Solutions and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost leads, or loss of data, arising out of or related to the Site or Services, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or related to the Site or Services will not exceed the amount you paid us in the three months before the event giving rise to the claim, or $297 if you have not paid us anything.

Some states do not allow certain limitations, so some of the above may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless Vursa Solutions and its members, employees, and contractors from any claims, damages, and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of any law, the content you provide, or messages sent to your own customers through systems we set up for you.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of those courts. Either party may bring a qualifying claim in small claims court.

Before filing a claim, you agree to contact us at [email protected] and give us 30 days to try to resolve the issue informally.

18. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on the Site with a new "Last updated" date, and for material changes affecting paying customers we will also notify you by email. Continued use of the Site or Services after changes take effect means you accept the updated Terms.

19. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any order or written agreement for Services, are the entire agreement between you and us regarding the Site and Services.
